Contribution should create participation. Authority should create accountability.
Human Capital Carry (HCC) is a proposed residual participation right for contributors whose identifiable work materially creates a durable enterprise asset.
It does not require perpetual employment, transfer corporate control, or guarantee payout. It separates compensation for future labor from a bounded economic claim that may be earned through past capital formation.
Employment can end while the asset keeps producing value.
A semiconductor architecture, molecule, model family, platform, patent portfolio, design language, or other durable asset can remain productive long after the person who materially created it leaves the organization.
Separation ends the exchange of future labor. It does not erase the fact that prior work may have become reusable enterprise capital.
A creator cannot diversify the same five years of specialized attention across ten competing proprietary programs.
Participation can vest through contribution milestones and pay only when defined covered value is actually realized.
HCC is participation in realized covered value, not guaranteed compensation for every project or technical attempt.
A small instrument around a clearly defined asset.
The correct legal and tax form depends on entity type, jurisdiction, securities law, employment law, IP law, and counsel. The architecture below is illustrative, not legal advice.
| Element | Illustrative treatment |
|---|---|
| Covered asset | Defined product family, patent portfolio, platform, model family, molecule, architecture, or other durable enterprise asset. |
| Capital hurdle | Agreed development capital and/or required return recovered before carry begins. |
| Carry pool | Small basis-point participation in defined covered surplus or other specified realized value. |
| Earning | Contribution milestones rather than continued tenure alone. |
| Separation | Earned portion can survive ordinary termination, retirement, or resignation after the milestone. |
| Failure | No covered value can mean no HCC payout. |
| Successor value | Defined derivative, licensing, sale, spinout, affiliate, or successor value can follow the instrument. |
| Verification | Reporting and reasonable verification rights appropriate to the instrument. |
Authority and downside should sit on the same causal chain.
If executives receive substantial residual upside because strategic authority is presumed to create enterprise value, leadership-controlled strategic failure that materially destroys or strands capital and is corrected primarily through workforce reductions should trigger review of relevant variable compensation and continuing decision authority.
The purpose is not punishment for risk-taking. It is to align contribution, authority, upside, and downside more symmetrically.
Define the asset. Define the hurdle. Define what is earned.
HCC is not a claim that every employee deserves a royalty. It is a proposal for situations where identifiable, scarce creators materially convert concentrated human capital into durable enterprise capital.
